Terms of Service

These terms govern your use of NP Ledger and describe the responsibilities, billing rules, data ownership expectations, and liability limits for the service.

Agreement between you and 70Ware LLC

1. Acceptance of Terms

By accessing or using NP Ledger ("Service"), operated by 70Ware LLC ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

2. Description of Service

NP Ledger is a cloud-based nonprofit fund accounting platform that provides bookkeeping, financial reporting, Form 990 preparation assistance, and related tools. The Service is designed for use by nonprofit organizations and their authorized representatives.

Who We Serve (Service Scope)

NP Ledger is built for and directed to nonprofit organizations established in the United States and in other countries outside the European Union — for example, Mexico. The Service is hosted in the United States, and its payment and banking connections are built around United States financial rails.

We do not target, market to, or direct the Service to organizations established in the European Union or the European Economic Area (EU/EEA). If you are an EU/EEA-established organization, the Service is not offered to you.

If you use the Service to record information about donors, contacts, or other individuals who reside in the EU/EEA, you remain responsible for meeting your own obligations to those individuals under any law that applies to you. For the data you enter, NP Ledger acts as your service provider (processor) and handles that data on your instructions, as described in our Privacy Policy.

3. Account Registration

To use the Service, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify us immediately of any unauthorized use.

4. Subscription and Payment

Certain features require a paid subscription. Subscription fees are billed in advance on a monthly or annual basis through Stripe, our third-party payment processor. You authorize us to charge your payment method for all fees due. Subscriptions renew automatically unless canceled before the renewal date. Refunds are handled on a case-by-case basis.

5. Acceptable Use

You agree to use the Service only for lawful purposes related to nonprofit accounting and financial management. You may not:

  • Use the Service to process transactions for for-profit commercial purposes.
  • Attempt to gain unauthorized access to the Service or other users' data.
  • Upload malicious code, viruses, or harmful content.
  • Violate any applicable law or regulation.
  • Resell or redistribute the Service without written permission.

6. Data Ownership and Portability

You retain ownership of all data you enter into the Service ("Your Data"). We do not claim ownership of Your Data.

Export. You may export Your Data at any time using the built-in data export feature, which is available on every plan at no additional cost. Exports use open CSV formats with documented schemas.

Portability Guarantee. If 70Ware LLC decides to discontinue the Service, we will provide at least 90 days' advance written notice to all active account holders. During the notice period, the data export feature will remain fully functional so you can retrieve Your Data. This guarantee applies to voluntary discontinuation by 70Ware LLC; it does not apply to service interruptions caused by events beyond our reasonable control.

Post-Termination Retention. Upon account termination (whether by you or by us), we will retain Your Data for 90 days to allow retrieval, after which it may be permanently deleted.

Accuracy of Your Data. You are responsible for the accuracy and completeness of Your Data. NP Ledger records, organizes, and reports the information you and your connected sources provide; it does not independently verify that information. The reports, financial statements, and Form 990 materials the Service generates are only as accurate as the data you enter and the entries you review and approve.

Independent Backups. We keep our own operational backups of the Service, but you remain responsible for maintaining your own independent copies of Your Data. The data export feature described above is available on every plan for this purpose, and we recommend exporting on a regular schedule.

7. Third-Party Services and Integrations

NP Ledger offers optional connections to third-party services — bank-feed aggregators, payment processors, and similar providers (for example, Mercury, Teller, Stripe, and PayPal) — that let you import transactions and other data instead of entering it by hand. These integrations are a convenience that shortcuts manual bookkeeping; they are not a system of record, and your books do not depend on them to be complete or correct.

We do not control these third-party services and are not responsible for the accuracy, completeness, or timeliness of any data they provide, or for interruptions, delays, or errors in their feeds. A connection may be unavailable, delayed, or discontinued by the provider at any time, and we do not guarantee the availability of any third-party service.

You are responsible for reviewing data imported from any third-party service against your own source records — such as bank statements, processor reports, and receipts — and for correcting any discrepancies before relying on your books. Your use of a third-party service is also governed by that provider's own terms and privacy policy, and any fees that provider charges are a matter between you and them.

8. Data Security

We use commercially reasonable measures to protect Your Data, including encryption in transit (TLS) and at rest. The Service is hosted on Google Cloud Platform (GCP) in the United States. While we strive to protect Your Data, no method of transmission or storage is 100% secure, and we cannot guarantee absolute security.

9. AI and Automated Features

The Service includes AI-powered features (AI Help, Voice Entry) that provide suggestions and assistance. These features are tools to aid your work, not professional accounting or tax advice. You are responsible for reviewing and verifying all AI-generated content before relying on it. We are not liable for errors in AI-generated suggestions.

10. Form 990 Assistance

The Service provides tools to assist with Form 990 preparation, including auto-mapping and worksheet generation. These tools do not constitute tax advice. You are responsible for the accuracy of your tax filings. We recommend consulting a qualified tax professional for filing decisions.

11. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable notice. We are not liable for service interruptions caused by factors beyond our control.

12. Limitation of Liability

To the maximum extent permitted by law, 70Ware LLC and its officers, directors, and employees shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from your use of the Service. Our total liability for any claim shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

13. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

14. Indemnification

You agree to indemnify and hold harmless 70Ware LLC from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

15. Termination

Either party may terminate the agreement at any time. You may cancel your subscription through the billing management page. We may suspend or terminate your account for violation of these Terms with reasonable notice. Provisions that by their nature should survive termination shall survive.

16. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

17. Governing Law

These Terms are governed by the laws of the State of Tennessee, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Tennessee.
